Terms & Conditions

By accessing or using Pratyak ("the Platform"), you agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you (the "User" or "Institution") and FretBox Technologies Pvt. Ltd. ("Company", "we", "us", or "our"), the developer and operator of Pratyak.

If you are entering into these Terms on behalf of an institution or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Platform.

Pratyak is an AI-powered attendance management platform designed for educational institutions. The Platform provides:

- Facial recognition-based automated attendance marking - Real-time attendance dashboards and analytics - Compliance reporting aligned with UGC and institutional norms - Integration with FretBox Campus Management System - Notification and alert systems for students, faculty, and administrators

The Platform is offered on a subscription basis to educational institutions. Individual student and faculty accounts are provisioned by the subscribing institution.

Pratyak is developed and maintained as a proprietary platform. Any use of the Pratyak name, logo, or brand assets is prohibited without prior written approval from Pratyak.

Pratyak's applications and their source code are the exclusive property of FretBox Technologies Pvt. Ltd. and are not distributable under any circumstances.Pratyak's APIs are not for public use. A valid subscription is required to access Pratyak's APIs.

Institutional Accounts Only duly registered educational institutions may subscribe to Pratyak. The subscribing institution is responsible for all activity conducted under its account.

Administrator Responsibilities Designated administrators must provide accurate and complete information during registration. Administrators are responsible for managing user access, maintaining confidentiality of credentials, and ensuring appropriate use by faculty and students.

Prohibited Users You may not use the Platform if you are barred from doing so under applicable law or if your account has been previously suspended or terminated by us.

A valid account and active subscription are required to use Pratyak's web and mobile applications.

By signing up, you authorise Pratyak to remind you via SMS, call, or notification when your subscription is approaching its expiry date. You are required to renew your subscription well in advance of the expiry date to ensure uninterrupted access to the Service.

Pratyak may provide a 7-day grace period to ensure your users are not affected. This grace period will be adjusted at the time of your next renewal.

Subscription Plans Pratyak is offered under tiered subscription plans as described on our Pricing page. Pricing is in Indian Rupees (INR) and is exclusive of applicable taxes (GST). Subscriptions are billed annually in advance unless otherwise agreed in writing.

You are free to change your subscription plan at any time. Any downgrade to a lower plan will take effect from your next billing cycle.

Pratyak does not offer refunds on subscription fees once paid.

In the event of a failed online transaction, Pratyak will settle and refund the amount to the original payment source within 7 working days.

Accounts with overdue payments may be suspended after 15 days' notice. Continued non-payment may result in termination and data export.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

- Use the Platform to collect or process data beyond the scope of attendance management - Attempt to reverse-engineer, decompile, or extract source code from the Platform - Share login credentials with unauthorised individuals - Upload malicious code, viruses, or harmful content - Use the Platform to harass, discriminate against, or harm any individual - Circumvent or disable any security or access control features - Use the Platform in a manner that violates applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (India)

Our IP All intellectual property rights in the Platform, including software, algorithms, UI/UX design, trademarks, and documentation, are owned by FretBox Technologies Pvt. Ltd. These Terms do not grant you any ownership rights in the Platform.

Your Data You retain ownership of all institutional and student data you upload or generate through the Platform. By using the Platform, you grant us a limited licence to process this data solely to provide the Services.

Feedback Any feedback, suggestions, or ideas you provide regarding the Platform may be used by us without obligation or compensation to you.

Delivering the best customer experience and technical solutions is the core responsibility of the Pratyak team, and we take it very seriously. Support options are integrated across all our applications, and our team is always available to assist you. The level of support provided is based on your active subscription plan.

For any urgent matters, please do not hesitate to reach out to us directly via email or phone, and you can rest assured we will respond promptly.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

Institutions act as the "Data Fiduciary" (as defined under the DPDP Act, 2023) for student and faculty data processed through the Platform. We act as the "Data Processor" on your behalf. Institutions are responsible for obtaining appropriate consent from students and faculty for biometric data collection and processing.

The Platform integrates with FretBox Campus Management System and may integrate with other third-party services. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

Integration with FretBox systems is subject to a separate data processing agreement between the institution and FretBox Technologies Pvt. Ltd.

Disclaimer of Warranties The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability To the maximum extent permitted by applicable law, FretBox Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or goodwill, arising from your use of the Platform.

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the subscription fees paid by you in the three (3) months preceding the claim.

Term These Terms remain in effect for the duration of your subscription and any renewal periods.

Termination by Institution You may terminate your subscription at the end of the current billing period by providing 30 days' written notice to business@fretbox.in.

Termination by Us We may suspend or terminate your access immediately if you breach these Terms, fail to pay subscription fees, or if required by law.

Effect of Termination Upon termination, your access to the Platform will cease. We will retain your data for 60 days post-termination to allow for export, after which it will be permanently deleted, subject to legal retention obligations.

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

We reserve the right to modify these Terms at any time. We will notify registered administrators of material changes via email or in-platform notification at least 15 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
